1. Definitions
- "Copperdesk", "we", "us", "our" refers to the business school operating from 18 Lebuh Farquhar, 10200 George Town, Pulau Pinang, Malaysia.
- "Programme" refers to any structured management education offering provided by Copperdesk, including the Business Communication Intensive, the Process and Operations Track, and the Owner-Manager Programme.
- "Participant" refers to any individual who has enrolled in a Programme.
- "User" refers to any person accessing the Copperdesk website.
- "Content" refers to all materials, documents, toolkits, workbooks and recorded materials provided as part of a Programme.
- "Agreement" refers to these Terms & Conditions as accepted by you.
2. Acceptance of Terms
By using this website or enrolling in a Programme, you agree to be bound by these Terms & Conditions. If you do not agree, you should not use the website or enrol in any Programme.
Participants must be 18 years of age or older. By enrolling, you represent that you have the legal capacity to enter into this Agreement under the laws of Malaysia.
3. Programme Description and Availability
Copperdesk provides general management education in the form of structured programmes. Teaching is educational in nature and does not constitute professional advice on any legal, financial, commercial or medical matter.
Programmes are offered in George Town, Penang, with online components where specified. Copperdesk reserves the right to adjust session dates, faculty arrangements and online platform details with reasonable prior notice to enrolled participants.
If a programme is cancelled by Copperdesk prior to commencement, enrolled participants will receive a full refund of any fees paid.
4. Enquiries and Enrolment
Submitting an enquiry through the website or by email does not constitute enrolment. Enrolment is confirmed only when Copperdesk has accepted your application and you have paid the programme fee or agreed a payment arrangement in writing.
Copperdesk reserves the right to decline any application without providing a reason, provided that any fee already paid is refunded in full.
5. Participant Responsibilities
Participants agree to:
- Attend sessions and meet submission deadlines as scheduled
- Engage with programme materials in good faith
- Treat faculty and fellow participants with professional courtesy
- Keep confidential any personal or business information shared by other participants during programme discussions
- Not record sessions without the express written permission of Copperdesk
- Not share programme Content with individuals who have not enrolled
Copperdesk reserves the right to remove a participant from a programme for conduct that disrupts the learning environment, breaches these terms, or is materially detrimental to other participants. In such cases, no refund of fees will be provided.
6. Intellectual Property
All Content — including programme materials, toolkits, workbooks, templates and recordings — remains the intellectual property of Copperdesk. Upon enrolment, you are granted a limited, non-exclusive, non-transferable licence to use Content for your own professional development.
You may not reproduce, distribute, sublicence, sell or publicly display Content without the prior written consent of Copperdesk. This restriction does not prevent you from using methods, frameworks or approaches you have learned in your own workplace.
7. Payment Terms
All fees are quoted in Malaysian Ringgit (RM) and are inclusive of all materials listed in the programme description. Payment is due prior to the start of the programme unless a written payment arrangement has been agreed.
7.1 Refund policy
- Withdrawal more than 14 days before programme start: full refund minus any bank charges incurred
- Withdrawal between 7 and 14 days before programme start: 50% refund
- Withdrawal less than 7 days before programme start, or after the programme has commenced: no refund
- Where a participant is prevented from attending by a medical emergency or similar force majeure event, Copperdesk will consider a credit towards a future cohort on a case-by-case basis
8. Programme Completion and Records
Participants who complete all required sessions and submissions will receive a completion record. This record acknowledges programme completion and is not an academic qualification, professional certification or regulated credential.
Copperdesk does not represent or imply that completion of any programme confers any professional, legal or financial qualification, or satisfies any regulatory continuing education requirement.
9. Disclaimers
The website and all programme Content are provided on an "as is" basis. Copperdesk makes no representation that participation in any programme will produce any specific professional or business outcome.
Teaching at Copperdesk is general management education only. Nothing communicated during sessions, in written feedback or in programme materials constitutes legal advice, financial advice, medical advice or any other form of professional advice. Participants requiring professional advice should seek it from appropriately qualified and regulated practitioners.
10. Limitation of Liability
To the extent permitted by Malaysian law, Copperdesk's total liability to any participant or user arising from or related to a programme or use of the website shall not exceed the total amount of fees paid by that person for the relevant programme.
Copperdesk is not liable for indirect, consequential, incidental or special losses, including loss of business, profit or opportunity, arising from participation in a programme or use of the website. This limitation does not apply where liability cannot be limited under Malaysian law.
11. Indemnification
You agree to indemnify and hold harmless Copperdesk and its faculty from any claims, losses, liabilities and expenses arising from your breach of these Terms or your conduct during a programme, including any claims brought by third parties as a result of your actions.
12. Termination
Either party may withdraw from a programme as described in Section 7. Copperdesk may terminate a participant's enrolment as described in Section 5. Access to any online programme resources will be discontinued upon termination.
Sections 5, 6, 9, 10, 11 and 13 survive termination of the Agreement.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Malaysia. Any dispute arising from or in connection with these Terms shall first be referred to the parties for informal resolution. If the dispute is not resolved within 30 days, it may be referred to the courts of Penang, Malaysia, which shall have exclusive jurisdiction.
These Terms do not affect any statutory rights you may have as a consumer under Malaysian law, including under the Consumer Protection Act 1999.
14. General Provisions
Entire Agreement: These Terms, together with any programme enrolment confirmation, constitute the entire agreement between the parties in relation to the programme.
Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force.
Waiver: Failure to enforce any provision of these Terms on any occasion does not waive Copperdesk's right to enforce it on another occasion.
Assignment: You may not assign or transfer your programme enrolment or any rights under these Terms without Copperdesk's prior written consent.
15. Changes to These Terms
We may update these Terms from time to time. Updated terms will be posted on this page with a revised effective date. Continuing to use the website or participate in a programme after a change constitutes your acceptance of the revised Terms. We will notify enrolled participants of material changes by email.
